What This Agreement Covers

This User Agreement (“Agreement”) governs your use of the PoloShirts.com website (the “Site”) and our custom polo shirt design and ordering service (the “Service”). The Service permits customers that have an appropriate relationship with corporations, small businesses, sports teams, schools, organizations, and other groups to design and purchase custom polo shirts that properly represent their organization.

By using the Site and the Service, you agree to be bound by the terms and conditions of this Agreement and you agree to use the Site and the Service solely as provided in this Agreement.

Intellectual Property Rights

PoloShirts.com and Third-Party Content

PoloShirts.com is committed to the appropriate and legal use of intellectual property of others, and we require our users to behave similarly. Unless otherwise noted, all materials, including images, illustrations, designs, icons, photographs and written and other materials that appear on the PoloShirts.com Site (collectively the “Contents”) are copyrights, trademarks, trade dress and/or other intellectual properties owned, controlled or licensed by PoloShirts.com.

PoloShirts.com is the owner of the POLOSHIRTS trademark and related marks. Other trademarks made available through this Site, including brand logos from Adidas, Nike, Hanes, and other manufacturers, are licensed for use by PoloShirts.com from their respective owners (the “Licensed Marks”). By using the PoloShirts.com Site, you agree to limit your use of Licensed Marks to uses that are directly related to such third parties and to comply with any restrictions or conditions imposed on the use and access of the Licensed Marks by the third parties.

Customer-Created Designs

Generally, products created using images available on the site should not be resold commercially without prior written consent from PoloShirts.com. In the event that you wish to resell such products, you agree to contact PoloShirts.com and verify the legality of reselling such products prior to doing so.

Designs created using our Product Customizer tool and images available through the site are in no way the exclusive property of the customers who assemble such designs. PoloShirts.com retains the right to display such designs (with identifying company information removed) or offer them (or variations of such designs) to other customers for marketing and promotional purposes.

Content Restrictions

Additionally, PoloShirts.com has the sole discretion to reject any order that it considers libelous, defamatory, obscene, profane (according to standards established by the FCC), portraying irresponsible use of alcohol or other substances, advocating persecution based on gender, age, race, religion, disability or national origin, containing explicit sexual content or is otherwise inappropriate for PoloShirts.com production.

You agree to not use PoloShirts.com’s Service to create any material that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable, or that infringes on any patent, trademark, trade secret, copyright or other proprietary rights of any third party.

User Responsibilities

Account Information

You are responsible for maintaining the confidentiality of your account information and password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account or password.

Accurate Information

You agree to provide true, accurate, current and complete information about yourself and your organization as prompted by the Service’s registration form. You agree to maintain and promptly update this information to keep it true, accurate, current and complete.

Proper Use

You agree to use the Service only for lawful purposes and in accordance with this Agreement. You will not:

  • Use the Service in any way that violates any applicable federal, state, local or international law or regulation
  • Transmit, or procure the sending of, any advertising or promotional material not authorized by us
  • Impersonate or attempt to impersonate PoloShirts.com, a PoloShirts.com employee, another user, or any other person or entity
  • Engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Service

Payment and Billing

Accepted Payment Methods

PoloShirts.com accepts payment via credit card, debit card, and PayPal. All payments sent electronically are securely transmitted. PoloShirts.com also accepts payment via purchase order for qualified business customers with approved credit terms.

Pricing and Billing

All prices are listed in U.S. dollars and are subject to change without notice. You agree to pay all charges incurred by you or on your behalf through the Service at the prices in effect when such charges are incurred. Sales tax may be applied to orders shipped to certain states as required by law.

Production and Delivery

Order Processing

Custom polo shirt orders are generally produced within 7-10 business days after final design approval. Customers who are concerned about meeting deadlines should contact our Customer Service team. Rush orders are available for a rush charge. Super rush orders (1-2 business days) are available for a rush charge, subject to availability.

Proof Approval

All custom orders require proof approval before production begins. You are responsible for carefully reviewing all aspects of your proof including text accuracy, color representation, and design placement. Once you approve a proof, changes cannot be made and production will begin.

Cancellation Policy

Order changes and cancellations are only possible when requested prior to your order moving into production. Once the production process for the order has started, changes and cancellations can no longer be accepted. Please note that changes may impact delivery dates and pricing.

Limitation of PoloShirts.com’s Responsibility

PoloShirts.com will be responsible for acting only on those instructions sent to PoloShirts.com that are actually received and does not assume responsibility for malfunctions in communications facilities not under its control that may affect the accuracy or timeliness of any orders you send.

PoloShirts.com is not responsible for any losses or delays in transmission of orders arising out of the use of any Internet Access Service Provider or caused by any browser software or any computer virus or related problem that may be attributable to services provided by any Internet Access Service Provider. PoloShirts.com is not responsible should you give incorrect instructions or if your payment is not processed by your financial institution.

Disclaimer of Warranties

The information and materials contained in this Site, including text, graphics, links or other items, are provided “as is” and “as available”. PoloShirts.com does not warrant the accuracy, adequacy or completeness of the information and materials on the Site and expressly disclaims liability for errors or omissions in this information and materials.

No warranty of any kind, implied, express or statutory, including but not limited to the warranties of non-infringement of third party rights, title, merchantability, fitness for a particular purpose or freedom from computer virus, is given in conjunction with the information and materials.

Limitation of Liability

In no event will PoloShirts.com be liable for any damages, including without limitation, direct or indirect, special, incidental, or consequential damages, losses or expenses arising in connection with this site or use thereof or inability to use by any party, or in connection with any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, even if PoloShirts.com, or representatives thereof, are advised of the possibility of such damages, losses or expenses.

Intellectual Property Claims

PoloShirts.com respects the intellectual property rights of others. We have a policy of removing user submissions that violate copyright, trademark, or other intellectual property laws, and suspending or terminating accounts of users who violate such laws.

If you believe your copyright, trademark, or other intellectual property right is being infringed by a user of PoloShirts.com, please provide written notice to:

Your notice must contain:

  • Your physical or electronic signature
  • Identification of the copyrighted work or intellectual property alleged to have been infringed
  • Identification of the allegedly infringing material with sufficient detail for us to locate it
  • Your contact information (address, telephone number, and email address)
  • A statement that you have a good faith belief that use of the material is not authorized
  • A statement that the information in the notice is accurate
  • A statement, under penalty of perjury, that you are authorized to act on behalf of the owner

Indemnification

You agree to defend, indemnify and hold PoloShirts.com and its affiliates harmless from and against any and all claims, damages, costs and expenses, including reasonable attorneys’ fees, arising from or relating to:

  • Your use of PoloShirts.com’s Site and the Service
  • Your violation of this Agreement
  • Your violation of any rights of another
  • Any content you submit through the Service

Termination

PoloShirts.com may, in its sole discretion, terminate or suspend your access to all or part of the Service for any reason, including without limitation, breach of this Agreement. Upon termination, your right to use the Service will cease immediately.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of California and, where applicable, by federal law. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in San Francisco County, California.

Changes to Terms

PoloShirts.com reserves the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on our website and updating the “Effective Date” above. Your continued use of the Service after such modifications constitutes your acceptance of the updated Agreement.
